GE Vernova Launches Senior Notes Offering to Fund Prolec GE Acquisition
GE Vernova (NYSE: GEV) has announced a new public offering of senior notes. The move comes as part of the company's plans to finance its upcoming acquisition of the remaining 50% stake in Prolec GE, a global supplier of power transformers and electrical equipment.
The offering will be conducted under an existing shelf registration statement filed with the US Securities and Exchange Commission (SEC). Investors will receive details through a prospectus supplement and the base prospectus.
Citigroup Global Markets Inc., J.P. Morgan Securities LLC, and Morgan Stanley & Co. LLC have been appointed as joint book-running managers for the transaction. The net proceeds from the sale of the notes will fund general corporate activities, with a portion allocated to the Prolec GE deal.
Prolec GE operates in more than 40 countries, supplying power transformers and electrical solutions across North and South America, Europe, Asia, and the Middle East. The acquisition of the remaining stake is expected to close on February 2, 2026, subject to regulatory approvals and other customary conditions.
The offering remains subject to market conditions and final terms. Once completed, the funds will support GE Vernova's strategic expansion, particularly in strengthening its position in the global power transformer and electrical equipment sector. The transaction marks a key step in consolidating ownership of Prolec GE.
