Copper Fox Metals Launches $3M Private Placement for Copper Projects

Copper Fox Metals Inc. has announced a non-brokered private placement to raise up to $3,000,000. The company, listed on the TSX Venture Exchange, OTC, and FSE, focuses on copper development in North America. The offering will involve up to 5,000,000 common shares priced at $0.60 each. The Offering is open to subscribers under various exemptions, including accredited investors and existing shareholders. Existing shareholders can participate but face a $15,000 limit per 12-month period. Insiders, such as director Ernesto Echavarria, may also subscribe, potentially making this a Related Party Transaction under TSX Venture Exchange rules.

Copper Fox owns the Van Dyke ISCR project, a development-stage copper mine in Arizona, and holds interests in other copper projects. Funds raised will support exploration, development, working capital, and general corporate needs.

The Offering is expected to close by July 27, 2026. Securities issued will be subject to a hold period of four months and one day. The proceeds will advance the company’s copper projects and cover operational costs. The Offering remains subject to regulatory approvals and other closing conditions. Insider participation could trigger additional disclosure and shareholder approval requirements.
