CervoMed Stock Soars 32% After Director's $3M Private Placement

CervoMed (CRVO) shares climbed sharply in premarket trading on Tuesday. The jump followed a major private placement by a company director. Before the rally, the firm had a market value of $23.42 million. Board member Joshua Boger acquired 955,414 shares at $3.14 each on June 11. The purchase was made through the Joshua S. Boger 2021 Trust, totalling roughly $3 million. Each unit in the placement included one common share and two warrant series, B and C.

Series B warrants carry a $3.32 strike price, can be exercised immediately, and expire on June 11, 2031. Series C warrants have a $3.14 exercise price and expire on June 11, 2027. CervoMed expects the offering to raise about $10.5 million in gross proceeds.

After the transaction, Boger holds 1,795,865 shares directly. He also controls 1,600,117 shares indirectly through two trusts. The surge in share price reached 32.3% during premarket hours. The private placement has boosted CervoMed’s stock significantly. Analysts at H.C. Wainwright have kept a Buy rating on the shares, with a target price of $25.00. The company’s funding and director involvement have drawn renewed investor interest.
